These Terms of Service govern access to the Ntegrity Labs website, customer accounts, purchases, communications, and related services. “Ntegrity Labs,” “we,” “us,” and “our” refer to Ntegrity Research LLC. By visiting the website, creating an account, submitting an order, or accepting these Terms, you agree to this document and the policies linked from it. If you do not agree, do not use the website or purchase products.
Eligibility and authority
You must be at least 21 years old to create an account or place an order. If you act for a company, laboratory, university, or other organization, you represent that you have authority to bind that organization. You must provide accurate, current information and promptly correct any material change.
Research-use-only relationship
Ntegrity Labs supplies materials solely for lawful laboratory research. Products are not offered for human or veterinary use, consumption, administration, diagnosis, treatment, prevention, compounding, or any other clinical or consumer purpose. Website content, customer-support responses, labels, Certificates of Analysis, and other documents are not medical advice, dosing guidance, or instructions for human or animal use.
We may decline to answer a request that seeks medical, therapeutic, dosing, administration, or other prohibited-use guidance. We may also refuse or end a customer relationship when available information creates a reasonable compliance or safety concern.
Accounts and security
You are responsible for protecting your login credentials and for activity conducted through your account. Notify us promptly if you believe an account or payment method has been used without authorization. We may request additional information to verify identity, age, organizational authority, research purpose, payment authorization, or shipping eligibility.
Product information and analytical documents
We work to describe products accurately, but catalog text, images, availability, pricing, packaging, specifications, and test information may be corrected or updated. A Certificate of Analysis or other test record applies only to the identified sample, batch, test method, and test date. It does not establish fitness for a particular experiment and does not create a representation of sterility, pharmaceutical-grade manufacture, Good Manufacturing Practice status, clinical suitability, or injectability unless that representation appears expressly in the applicable document and is authorized by Ntegrity Labs in writing.
The purchaser must independently review batch documentation and determine whether a product is suitable for the purchaser’s lawful research.
Orders, prices, and acceptance
Submitting an order is an offer to purchase. An automated confirmation only acknowledges receipt and does not require us to accept or fulfill the order. We may verify, hold, limit, reject, or cancel an order for inventory, pricing, payment, fraud, shipping, legal, compliance, or safety reasons. If we cancel an order after collecting payment, we will return the amount collected for the cancelled item or order to the original payment method, subject to processor timing.
Prices, discounts, inventory, and promotions may change without notice. We may correct an obvious pricing, description, or availability error before fulfillment. Taxes and shipping charges are added when applicable and shown during checkout.
Payment authorization and charge disputes
By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the applicable charges. Payment information is handled by third-party payment processors under their own terms and privacy practices.
Contact support@ntegritylabs.com before initiating a charge dispute so we have an opportunity to investigate. Nothing in these Terms prevents a consumer from exercising rights that cannot lawfully be waived.
Resale, transfer, and relabeling
Unless Ntegrity Labs gives prior written authorization, products may not be resold, repackaged, relabeled, redistributed, incorporated into a consumer product, or marketed with medical, therapeutic, dosing, disease, human-use, or animal-use claims. Any authorized downstream transfer must preserve applicable labels, batch identification, research-use restrictions, and safety information.
Customer compliance obligations
You are responsible for determining whether purchase, possession, transport, storage, handling, research, transfer, and disposal are lawful in your location and institution. You must maintain appropriate facilities, training, records, personal protective equipment, storage controls, and disposal procedures. You may not export, divert, or transfer products in violation of sanctions, export controls, carrier restrictions, or other applicable laws.
Communications
We may use the contact information you provide for account, security, compliance, payment, order, shipment, policy, legal, and customer-service communications. These non-marketing messages may be sent when permitted by law even if you decline marketing.
Email marketing is optional and includes an unsubscribe method. Providing a phone number for checkout, delivery, support, or security does not by itself authorize promotional text messages. Ntegrity Labs presents separate, optional choices for transactional and marketing SMS consent. Neither choice is preselected or required to create an account, submit a form, or complete a purchase.
SMS Messaging Terms
The program name is Ntegrity Labs Text Updates. Customers may separately choose to receive:
- Transactional messages, including account, order, fulfillment, delivery, compliance, and customer-support updates.
- Marketing messages, including company news, research-catalog updates, product-availability notices, and promotions, but only when the content is permitted by applicable law, carrier and platform policy, and the approved messaging campaign.
Consent applies only to messages from Ntegrity Labs at the mobile number provided. Consent is optional and is not a condition of purchase. Marketing messages may be sent using automated technology. Message frequency varies. Message and data rates may apply.
Text STOP to end messages. After a valid opt-out request, we may send one confirmation and will suppress further messages covered by the withdrawal. Text HELP for assistance or email support@ntegritylabs.com. A customer who opted out may rejoin by completing the applicable opt-in process again.
Carriers are not liable for delayed or undelivered messages. Delivery is not guaranteed and depends on carrier, device, network, platform, consent, and compliance conditions. Ntegrity Labs may suspend, modify, or discontinue the program or a message category when required by law, carrier rules, platform policy, safety, compliance, or operational needs.
Opt-in collection may begin before message delivery is activated. No automated or campaign SMS will be sent until the applicable provider account, sending number, brand or campaign registration, and compliance controls are active. Consent records may include the phone number, selected message categories, accepted disclosure version, source form, timestamp, and IP address.
Website use and intellectual property
The website, brand elements, product photography, graphics, layout, text, downloads, and software are owned by or licensed to Ntegrity Labs and are protected by applicable intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the website for lawful personal or internal business research-purchasing purposes.
You may not copy substantial portions of the website, scrape it in a way that burdens or circumvents access controls, reverse engineer site functionality, remove proprietary notices, impersonate another person, introduce malicious code, or use our content or marks to suggest endorsement without written permission. If you voluntarily submit feedback, you permit us to use it without restriction or compensation, provided we do not identify you publicly without permission.
Suspension and enforcement
We may request verification, place an order or account on hold, limit quantities, cancel an order, suspend access, or terminate an account when we reasonably believe there is fraud, unlawful activity, prohibited use, misrepresentation, chargeback abuse, sanctions risk, safety risk, policy evasion, or another material breach. We may preserve records and cooperate with payment processors, carriers, regulators, or lawful authorities when reasonably necessary.
Disclaimer of warranties
To the fullest extent permitted by law, the website, products, information, and services are provided “as is” and “as available.” Ntegrity Labs disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise uninterrupted website operation, error-free information, a particular research result, or suitability for a customer’s experiment.
No product is represented as sterile, pharmaceutical grade, GMP manufactured, clinically suitable, or injectable unless an authorized written statement for that specific product and batch expressly says so. Test reports and product documentation do not expand the warranties stated in these Terms.
Limitation of liability
To the fullest extent permitted by law, Ntegrity Labs and its owners, employees, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, including lost profits, lost data, business interruption, research interruption, or losses caused by misuse, improper storage, unauthorized administration, or prohibited use.
To the fullest extent permitted by law, total liability arising from a product or order will not exceed the amount actually paid to Ntegrity Labs for the product or order giving rise to the claim. These limitations do not apply where applicable law prohibits them.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ntegrity Labs and its owners, employees, contractors, suppliers, and service providers from third-party claims, losses, penalties, and reasonable costs arising from your unlawful or prohibited use, downstream transfer, relabeling, misrepresentation, violation of these Terms, or infringement of another person’s rights.
Disputes and governing law
Before filing a claim, each party agrees to give the other written notice describing the dispute and requested resolution and to allow 30 days for a good-faith informal resolution effort.
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. To the extent permitted by applicable law, any lawsuit arising from these Terms, the website, an account, or a purchase must be brought in a state or federal court with jurisdiction in Salt Lake County, Utah. This forum provision does not prevent either party from bringing an eligible claim in a small-claims court with proper jurisdiction and does not override any forum or remedy that applicable law does not permit a party to waive.
Either party may seek urgent injunctive relief to protect intellectual property, confidential information, account security, or prevent unlawful use. Any contractual claim period must be added only after counsel confirms it is lawful and appropriate.
Changes, severability, and survival
We may update these Terms by posting a revised version and date. Changes apply prospectively unless law permits otherwise. If a provision is found unenforceable, the remaining provisions remain effective. Provisions concerning payment obligations, restricted use, intellectual property, disclaimers, liability, indemnification, disputes, and record retention survive termination where applicable.
